1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Operating Agents, LLC, a Delaware limited liability company doing business as SudoIQ (“SudoIQ,” “we,” “us,” or “our”). By accessing or using the SudoIQ platform, APIs, documentation, or any related services (collectively, the “Service”), you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

SudoIQ provides a cloud-based platform for AI agent orchestration, including APIs, dashboards, and related tools (“Platform”). The Service is offered on a subscription and usage-based pricing model. SudoIQ monetizes usage of the Platform itself and does not monetize Customer accounts, personal data, or user profiles for advertising or marketing purposes.

3. Account Registration and Security

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SudoIQ immediately of any unauthorized use of your account.

SudoIQ reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Platform.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks;
  • Reverse engineer, decompile, or disassemble any portion of the Service;
  • Use the Service to transmit malware, viruses, or other harmful code;
  • Circumvent any rate limits, usage quotas, or access controls;
  • Resell, sublicense, or redistribute access to the Service without prior written consent;
  • Use the Service in a manner that could damage, disable, overburden, or impair SudoIQ’s infrastructure.

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in any data you submit to the Service (“Customer Data”). SudoIQ does not claim ownership of Customer Data. We process Customer Data solely to provide and improve the Service as described in our Privacy Policy.

5.2 Data Retention

Customer Data submitted through the APIs is retained for a configurable period between 30 and 180 days, as selected by the Customer in the Platform settings. Upon expiration of the retention period, Customer Data is automatically purged from our systems. SudoIQ does not intentionally include Customer Data in production logs.

5.3 Data Deletion

Customers may request full account deletion, including all associated Customer Data, by emailing deletemyaccount@sudoiq.com. Upon receiving a valid deletion request, SudoIQ will delete the account and all associated data within 30 days, except where retention is required by law.

5.4 Third-Party Integrations

The Platform may transmit Customer Data to third-party AI model providers (such as OpenAI, Anthropic, Google, or Groq) as directed by the Customer’s configuration. SudoIQ is not responsible for the data handling practices of third-party providers. Customers are responsible for reviewing and agreeing to the terms and privacy policies of any third-party integrations they enable.

6. Fees and Payment

Fees for the Service are based on usage and subscription tiers as described on the SudoIQ pricing page or in an applicable Order Form. All fees are quoted in U.S. dollars, are non-refundable unless otherwise stated, and are exclusive of taxes. You are responsible for all applicable taxes.

Payment is processed through Stripe. SudoIQ does not directly store your full payment credentials. Failure to pay fees when due may result in suspension or termination of your account.

7. Intellectual Property

The Service, including its software, APIs, documentation, design, trademarks, and all related intellectual property, is and remains the exclusive property of SudoIQ and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by SudoIQ without obligation or compensation to you.

8. Confidentiality

Each party agrees to hold in confidence any non-public information disclosed by the other party (“Confidential Information”) and to use it solely for purposes related to these Terms. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SUDOIQ SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SUDOIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SUDOIQ MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT GENERATED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO OUTPUTS FROM THIRD-PARTY AI MODELS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUDOIQ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

SUDOIQ’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SUDOIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless SudoIQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any Customer Data you submit to the Service.

12. Term and Termination

These Terms are effective until terminated. Either party may terminate by providing written notice. SudoIQ may suspend or terminate your access immediately if you breach these Terms.

Upon termination: (a) your right to use the Service ceases immediately; (b) SudoIQ will delete your Customer Data in accordance with Section 5; and (c) Sections 5.1, 7, 8, 9, 10, 11, 13, 14, and 15 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

For any claim where the amount in controversy does not exceed $10,000, the parties agree to attempt resolution through good-faith negotiation before initiating litigation.

14. Modifications to Terms

SudoIQ reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Service.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and SudoIQ regarding the Service.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. The failure of SudoIQ to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without SudoIQ’s prior written consent. SudoIQ may assign these Terms without restriction.

Force Majeure. SudoIQ shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power outages, or internet service interruptions.
